Producer Agreement

This Producer Agreement (“Agreement”) is entered into between [Marketplace Name] (“Platform”) and the individual or entity registering as a Producer (“Producer”). By creating a Producer account, you agree to the terms below.
1. Role of the Platform
The Platform operates a marketplace connecting Producers with Clients booking studio time. The Platform is a neutral intermediary and is not a party to studio sessions or creative collaborations. We do not supervise, direct, or control Producer services.
2. Independent Contractor Status
Producer is an independent contractor and not an employee, agent, or partner of the Platform.
Producer is solely responsible for:
- Setting rates and availability
- Conducting sessions and delivering services
- Providing equipment and studio space
- Paying all applicable taxes
3. Account & Profile Accuracy
- Provide accurate service descriptions and capabilities
- Maintain updated pricing and availability
- Avoid misleading or false representations
The Platform may suspend accounts for inaccurate or misleading information.
4. Booking & Payments (Stripe Connect)
Payments are processed through Stripe Connect. By using the Platform, Producer agrees to the Stripe Connected Account Agreement and Stripe Services Agreement.
Producer authorizes the Platform to collect payments on their behalf, deduct applicable fees, and remit payouts through Stripe.
Service Fees: The Platform retains a fee of [] per completed booking.
Payout Timing: Payouts are issued after session completion and any dispute review period.
Chargebacks: Producer is financially responsible for chargebacks or payment disputes. The Platform may deduct disputed amounts from future payouts or recover funds if necessary.
5. Cancellations & No-Shows
- Producer must honor confirmed bookings
- Provide reasonable notice for cancellations
If Producer cancels, the Client receives a full refund. Repeated cancellations may result in suspension.
6. Intellectual Property
- Clients own recordings created during paid sessions
- Producer retains ownership of pre-existing beats, templates, and tools
Licensing or ownership transfers must be agreed directly between Producer and Client. The Platform does not own any music created.
7. Studio & Legal Compliance
Producer represents that they:
- Have the legal right to operate their studio
- Comply with local laws and regulations
- Maintain safe recording conditions
- Have rights to all equipment and software used
8. Prohibited Conduct
- Illegal or infringing recording activity
- Misrepresentation of services
- Circumventing the Platform for direct payments
- Harassment or discrimination
9. Off-Platform Transactions
Producer agrees not to bypass the Platform to avoid fees. Violations may result in account termination.
10. Disputes
Producer agrees to attempt good-faith resolution with Clients. The Platform may review disputes and issue discretionary outcomes, including refunds or account actions.
11. Insurance
Producer is encouraged, but not required, to maintain liability and equipment insurance. All operational risks remain with the Producer.
12. Limitation of Liability
The Platform is not liable for session outcomes, equipment failures, scheduling issues, or loss of recordings or business opportunities.
13. Indemnification
Producer agrees to indemnify the Platform from claims related to sessions, content, legal violations, or breaches of this Agreement.
14. Term & Termination
This Agreement remains active while Producer has an account. The Platform may suspend or terminate accounts for violations, fraud, or repeated complaints.
15. Taxes
Producer is responsible for all taxes related to earnings. Stripe or the Platform may issue tax forms (e.g., 1099) where required by law.
16. Governing Law
This Agreement is governed by the laws of the State of Alabama.
17. Amendments
We may update this Agreement at any time. Continued use of the Platform constitutes acceptance.
